More courts throughout the United States are ruling that employees have the right to rely on representations made before hiring and during the working relationship. As a result, discharged employees are suing—and winning lawsuits against—ex-employers for breach of oral agreements promising secure employment and even jobs for life. But employers can avoid these situations.

While courts have generally recognized that employers may be bound by written assurances and statements made in employee manuals, handbooks and work rules, they are now increasingly willing to consider oral contracts extended by management and company officials having the apparent authority to make such promises.

However, these are not the only kinds of promises that are getting companies in trouble. When personnel at the hiring interview paint an overly rosy picture of a company, exaggerate the attractions of a specific position or promise the kinds of duties and job functions the employee will have if a job is accepted, the employer could end up with a disgruntled employee who someday might slap a “truth-in-hiring” lawsuit.

In light of recent court rulings, it’s imperative to understand the dangers regarding oral promises and to minimize problems in this confusing area.

Know the law. It’s important to recognize that informal, off-the-cuff oral assurances can bind your company to devastating results. For example, a Michigan jury recently awarded $1.1 million to a worker based on a claim of an oral promise of lifetime employment. In this case, the jury found the existence of a valid, oral contract and ruled that the company unjustifiably breached that contract when the employee was terminated.

In another case, a lawyer was lured to join a rival law firm with promises that she would head its environmental law practice. After accepting the offer and leaving a secure, stable position, the lawyer learned that the law firm had few environmental clients and there was practically no work for her to perform. A federal court judge ruled that she had the right to proceed to a trial with a lawsuit based in part on the theory of fraud in the inducement.

A Connecticut executive was awarded $10.1 million in compensatory and punitive damages after he left a company to join a competitor with promises of a large bonus and profit-sharing plan that never materialized.

Countless other decisions indicate the vulnerability of companies in this area. They include claims of negligent misrepresentation and violations of the Federal Trade Commission Act when false or misleading claims regarding a person’s potential earning or job functions are made.

Act accordingly. To avoid similar problems, all of your company’s hiring policies should be clearly spelled out so they cannot be misunderstood or misinterpreted by prospective job candidates and present employees. Interviewers, recruiters and other intake personnel must be careful not to say anything at the hiring interview that can be construed as a promise of job security.

Avoid using words at the hiring interview that imply anything other than an at-will relationship. For example, try not to use such phrases as “permanent employment,” “job for life” or linking the phrase “just cause only” with termination. Also avoid broad statements concerning job longevity, assurances of continued employment (“Don’t worry; no one around here ever gets fired except for a good cause”) or specific statements regarding career opportunities. Only use these phrases if they are being stated as deliberate reflections of commitments.

Utilize employment applications for protection. As a first line of defense, your company should include language such as the following in employment applications: “I understand that no promises of continued employment have been given to me about this job. If I am offered this position, I have the right to be terminated at will, with or without cause, or notice, and may resign at any time. The foregoing is not to be construed as a guarantee of employment for a specific time, and no promises about the permanency of my job functions or duties have been given.”

Requiring applicants to sign properly drafted employment applications can reduce potential problems.
Indeed, it’s not unusual for job interviewers to be over-exuberant in their job descriptions, leading to unrealistic expectations by the applicant and possible suits for damages.

Train staff to avoid making promises. The best way to avoid problems is to notify your interviewers not to say anything at the hiring interview that can be construed as a promise. It may be a good idea for the person offering the position to have a colleague present when the offer is made to serve as a witness that no additional promises were stated.

Prepare follow-up memos where justified. Some companies furnish just-hired workers with memos that specifically deny that promises of job security and other material promises have been made. Other companies include such a statement in a written employment contract that the worker must sign.

Finally, pay special attention to welcoming letters sent out by company executives—particularly those in marketing and sales—which may talk in inflated terms and sometimes make statements or promises that the employer never intended to keep. In this area, you can never be too careful.

Chevrolet will add a special program to its 2011 SEMA Show strategy. This program will highlight its new small-car entry—the Sonic—seeking accessory-based projects from the specialty-equipment market. To be considered, proposals must include the four General Motors criteria listed below for content and definition:

  • An introductory letter defining the theme of the project vehicle (i.e. appealing to which market segment) and its general content, vehicle need date and project completion date.
  • A list of specific system upgrades, including partnered sources, if appropriate. Please use the Excel formatted “Sheet B,” which will be provided by contacting Bob Kern (see below for contact information).
  • A proposed list of intended events, trade shows, publications, etc., where the vehicle will be promoted. Availability for the 2011 SEMA Show in Las Vegas is required. Please state where the vehicle will be displayed at the SEMA Show and who will sponsor the vehicle if it is placed in a feature spot. Note that partners are required to promote the vehicle through November 1, 2012. Proposals with guaranteed interior booth space will be given preferred consideration.
  • 8½ x 11 color renderings illustrating front/side and rear appearance (composite ¾ views acceptable) with the intended color and graphic scheme accurately defined. If the interior will be significantly modified, an interior sketch is recommended as well. Preservation of front-end brand identity (divisional emblem and possibly grille features) is mandatory. High-resolution photos will be supplied for doing the sketch work when you contact Bob Kern.

SEMA members interested in developing a General Motors project vehicle for the 2011 SEMA Show are encouraged to prepare a Project Description Plan and submit three copies of the proposal, including a rendering on 8½ x 11 paper (stapled, not bound, please) to:

MID-PACK DRIVERS LOOKING FOR FIRST WINS OF SEASON AT ATLANTA: After nearly a year-and-a-half since his last career win, Funny Car driver Jeff Arend powered his DHL Funny Car past Mike Neff two weeks ago in Houston to secure his first win of the season. The win catapulted Arend into the top 10 point standings in Funny Car, moving him up to the fifth spot in the standings. As the NHRA heads to Georgia for the Summit Racing Equipment NHRA Southern Nationals this weekend, the sixth stop of the year, many drivers hanging in the mid-pack position in the point standings hope to follow in Arend’s footsteps and get their first wins of the season.

One of those drivers, believe it or not, is seven-time world champion Tony Schumacher. After a runner-up finish to Del Worsham at the Tire Kingdom Gatornationals, the second race of the season, Schumacher has made it past the second round of eliminations just once in the past three races. He currently sits fourth in the point standings, a whopping 152 points behind first-place Worsham.

Right on his tail in the fifth spot is Schumacher’s teammate, Spencer Massey, who after winning the Auto Club Road to the Future Rookie of the Year award in 2009, found himself without a ride in 2010. A new start with Don Schumacher Racing in 2011 has produced two semifinal finishes in the past five races, but Massey is looking for more with a win in Atlanta.

In the Funny Car category, two-time world champion Cruz Pedregon is fourth in the point standings, surrounded by powerhouse team drivers for Don Schumacher Racing and John Force Racing on both sides. A No. 1 qualifier to start the season in Pomona and a runner-up finish at the next event in Gainesville gave Pedregon the launch to the season he was hoping for, but back-to-back first-round losses in the past two races have slowed the momentum of the Snap-on Tools team.

It’s a similar slump that 2010 Funny Car runner-up finisher Matt Hagan has also felt. Hagan started the 2011 season strong with a runner-up finish in Pomona and the No. 1 qualifier in Gainesville. But since then, Hagan has been unable to get his DieHard Dodge Charger past the second round and back into a final-round match-up for the season. Hagan sits two spots behind Pedregon in the sixth spot. Is Atlanta another spot for a first-time season winner, or will the Wally be hoisted in the Winner’s Circle on Sunday by someone who has already tasted victory this season? The NHRA and the Red Cross have joined forces to provide Atlanta race fans the opportunity to give back to those affected by the tornado disasters that have struck the Southeast region of the country. Fans attending this weekend’s Summit Racing Equipment NHRA Southern Nationals at Atlanta Dragway will have the opportunity to make donations to the Red Cross at a booth set up in the midway in the pit area. The donations collected throughout the weekend will go directly to a tornado relief fund for the Southeast region of the country impacted by tornados and severe storms that ripped through the region. MID-PACK DRIVERS LOOKING FOR FIRST WINS OF SEASON AT ATLANTA: After nearly a year-and-a-half since his last career win, Funny Car driver Jeff Arend powered his DHL Funny Car past Mike Neff two weeks ago in Houston to secure his first win of the season. The win catapulted Arend into the top 10 point standings in Funny Car, moving him up to the fifth spot in the standings. As the NHRA heads to Georgia for the Summit Racing Equipment NHRA Southern Nationals this weekend, the sixth stop of the year, many drivers hanging in the mid-pack position in the point standings hope to follow in Arend’s footsteps and get their first wins of the season.

One of those drivers, believe it or not, is seven-time world champion Tony Schumacher. As the NHRA heads to Georgia for the Summit Racing Equipment NHRA Southern Nationals this weekend, the sixth stop of the year, many drivers hanging in the mid-pack position in the point standings hope to follow in Arend’s footsteps and get their first wins of the season.

One of those drivers, believe it or not, is seven-time world champion Tony Schumacher. After a runner-up finish to Del Worsham at the Tire Kingdom Gatornationals, the second race of the season, Schumacher has made it past the second round of eliminations just once in the past three races. He currently sits fourth in the point standings, a whopping 152 points behind first-place Worsham.

Right on his tail in the fifth spot is Schumacher’s teammate, Spencer Massey, who after winning the Auto Club Road to the Future Rookie of the Year award in 2009, found himself without a ride in 2010. A new start with Don Schumacher Racing in 2011 has produced two semifinal finishes in the past five races, but Massey is looking for more with a win in Atlanta.

In the Funny Car category, two-time world champion Cruz Pedregon is fourth in the point standings, surrounded by powerhouse team drivers for Don Schumacher Racing and John Force Racing on both sides. A No. 1 qualifier to start the season in Pomona and a runner-up finish at the next event in Gainesville gave Pedregon the launch to the season he was hoping for, but back-to-back first-round losses in the past two races have slowed the momentum of the Snap-on Tools team.

It’s a similar slump that 2010 Funny Car runner-up finisher Matt Hagan has also felt. Hagan started the 2011 season strong with a runner-up finish in Pomona and the No. 1 qualifier in Gainesville. But since then, Hagan has been unable to get his DieHard Dodge Charger past the second round and back into a final-round match-up for the season. Hagan sits two spots behind Pedregon in the sixth spot. Is Atlanta another spot for a first-time season winner, or will the Wally be hoisted in the Winner’s Circle on Sunday by someone who has already tasted victory this season? NHRA, RED CROSS JOIN FORCES IN ATLANTA TO PROVIDE RELIEF FOR TORNADO-STRICKEN SOUTHEAST:
The NHRA and the Red Cross have joined forces to provide Atlanta race fans the opportunity to give back to those affected by the tornado disasters that have struck the Southeast region of the country. Fans attending this weekend’s Summit Racing Equipment NHRA Southern Nationals at Atlanta Dragway will have the opportunity to make donations to the Red Cross at a booth set up in the midway in the pit area. The donations collected throughout the weekend will go directly to a tornado relief fund for the Southeast region of the country impacted by tornados and severe storms that ripped through the region. Fans will also have the opportunity Saturday following the second round of qualifying to not only donate, but also to get their favorite drivers’ autographs at a special autograph session with some of the biggest names in NHRA Full Throttle Drag Racing, including Larry Dixon, Del Worsham, Bob Tasca, Spencer Massey, Allen Johnson, Steve Johnson, Dave Grubnic, Cruz Pedregon, Jeff Arend and LE Tonglet next to the Red Cross booth. Legislation to allow municipalities to issue permits for sanctioned motor-vehicle racing events on public streets and highways within its geographical jurisdiction has been signed into law by Oklahoma Governor Mary Fallin. Introduced as the “Municipal Motor Vehicle Racing Act,” the new law promotes legal racing in Oklahoma, boosts the state’s tourism sector and streamlines the process for race promoters to obtain a racing event permit. An exemption from regulations governing “public or private nuisances,” including noise limits, is also provided for in the new law. To obtain a permit, the racing event must be sanctioned by a nationally or internationally recognized racing organization.
